The business trading name is Ripyl® Limited. This name will appear on all statements and invoices.

Platform Overview

Ripyl® is a subscription-based Software-as-a-Service (SaaS) platform providing curriculum-aligned educational resources, challenges, and tools for teachers and students.

By accessing or using the Ripyl® platform, you agree to be bound by these Terms and Conditions.

Pricing, Currency & Taxes

Pricing is set by region and charged in the applicable local currency:

• New Zealand: New Zealand Dollar (NZD)

• Australia: Australian Dollar (AUD)

• United States, Canada, United Kingdom and Rest of World: United States Dollar (USD)

Prices displayed at checkout reflect the applicable currency based on your billing location.  Taxes (including GST, VAT, or sales tax) will be applied where required under local law.

Ripyl® Limited reserves the right to adjust pricing by region at any time.  Updated pricing will be reflected on the Ripyl® website. It is the user’s responsibility to verify price updates.

Payments 

Ripyl® Limited accepts payment by Visa, Mastercard, American Express, PayPal and Klarna.

All subscriptions must be paid in full before access is granted. Unless otherwise stated, subscriptions are billed annually.

Refunds are not provided for partial subscription periods, except where required by applicable consumer protection laws.

Accounts & Access

Users are responsible for -

• Maintaining the confidentiality of their login credentials;

• Ensuring access is strictly limited to the individual account holder only; and

• All activity that occurs under their account.

 Accounts must not be shared under any circumstances.  Each Ripyl® account is issued to a single, named user and is for individual use only.  Login credentials must not be shared, transferred, reused, or made available to any other person, including colleagues, students, or third parties.

Ripyl® Limited reserves the right to immediately suspend or terminate any account that breaches this clause, without refund, and to take further action where necessary.

Intellectual Property & Acceptable Use

All content available on the Ripyl® platform, including but not limited to lesson materials, challenges, templates, assessments, videos, text, graphics, and software, is the intellectual property of Ripyl® Limited unless otherwise stated.

Users are granted a limited, non-exclusive, non-transferable licence to use Ripyl® materials solely for educational purposes within their licensed environment.

Users must not -

• Copy, reproduce, distribute, sell, or share Ripyl® content outside their licensed use

• Upload Ripyl® content to shared drives, third-party platforms, or public repositories

• Share login credentials with unauthorised users

• Modify or create derivative works without written permission

Breach of this clause may result in -

• Immediate termination of access

• Cancellation of subscription without refund

• Deletion of associated data

• Legal action in accordance with applicable laws in the user’s jurisdiction

Ripyl® Starter Pack (Freemium Access)

Users registered under the Ripyl® Starter Pack receive access to four (4) complimentary resources.

Freemium access is limited to 90 days. After this period, users must upgrade to a paid plan to retain access.

Ripyl® Limited reserves the right to suspend or delete freemium accounts that are inactive, expired or past the 90-day limited trial.

Innovation Challenge – Entries & Prizes 

Minimum Entry Requirement

A minimum of twenty (20) valid entries must be received for the full advertised prize pool to apply. 

Prizes (20 or More Entries)

• Winning School: One (1) Ripyl® Subscription

• First Place Team (up to 5 members): NZ$1,000 total

• Second Place Team: NZ$500 total

• Third Place Team: Team lunch valued at NZ$100

• Additional Prize: One (1) iPad or equivalent device (at Ripyl®’s discretion)

Ripyl® Limited reserves the right to verify eligibility, substitute prizes of equal value, or adjust prize distribution at any time.  Ripyl® Limited also reserves the right to cancel any challenge at anytime

Student Work & User-Generated Content

Students retain ownership of their ideas and submitted work.

By submitting content to the Ripyl® platform or Innovation Challenge, users grant Ripyl® Limited permission to -

• Display submissions for judging purposes

• Showcase anonymised or credited examples for promotional and educational use

Ripyl® Limited is not responsible for similarities between submissions or for intellectual property disputes between participants.

Privacy & Data Protection

Ripyl® Limited collects personal information including names, contact details, usage data, and billing information.

Information is collected to -

• Deliver platform access

• Administer programmes and challenges

• Improve services and support users

Data is stored securely and accessed only by authorised personnel.

Ripyl® Limited complies with applicable privacy laws, including -

• New Zealand Privacy Act

• Australian Privacy Principles

• Applicable US and UK data protection requirements

Users may request access to or correction of their personal information by contacting hello@ripyl.net.

Platform Availability

While Ripyl® Limited aims to provide reliable access, uninterrupted availability is not guaranteed.

Scheduled maintenance or unforeseen technical issues may result in temporary downtime.

Limitation of Liability

Ripyl® Limited provides educational tools only and does not guarantee learning outcomes.

To the maximum extent permitted by law, Ripyl® Limited’s liability is limited to the subscription fees paid in the preceding 12 months.

Changes to These Terms

Ripyl® Limited may update these Terms and Conditions at any time.  Changes will be published on the website and, where appropriate, communicated via email, if necessary.

Governing Law

These Terms are governed by the laws of New Zealand, subject to mandatory consumer protections in the user’s country of residence.
